ADVICE WITH A PRACTICAL PURPOSE

Share information with a clearer understanding.

  • One-way and mutual confidentiality agreements
  • Permitted purposes and authorised recipients
  • Definitions, exclusions and disclosure procedures
  • Duration, return and deletion provisions
  • Links to wider commercial and data protection terms

Before sharing business information, agree what may be used, by whom and for what purpose. We advise on confidentiality arrangements that reflect the discussion or relationship you are entering.

Start with the information and the purpose

We consider what you plan to share, the recipient and the business reason for disclosure. That context helps shape the obligations and identify where a standard template may be too broad or leave important gaps.

Keep confidentiality in context

An NDA is one part of managing information. We explain how it sits alongside access controls, intellectual property provisions and any separate data protection arrangements.

The scope of this service

Advisory and drafting for commercial confidentiality arrangements. Disputes requiring litigation and specialist intellectual property registrations are outside this service.

A USEFUL FIRST CONVERSATION

Bring the question.
We’ll work through the detail.

Describe the proposed discussion, who will disclose information and whether either party has supplied a draft. Avoid including the confidential material itself in your first enquiry.

We confirm suitability, deliverables, fees and any exclusions before the engagement begins.

Before we begin.

Should the agreement be mutual?+

That depends on whether one party or both parties will disclose confidential information. We can help choose wording that reflects the actual exchange.

Does an NDA replace a data processing agreement?+

No. Confidentiality terms do not by themselves address all applicable data protection requirements. If personal data is involved, the parties’ roles and any additional terms need separate consideration.
