One relationship. A clearer framework.
- MSA drafting, review and amendment
- Responsibilities and commercial risk allocation
- Payment, intellectual property and confidentiality terms
- Liability, termination and transition provisions
- Order of precedence across MSAs, SOWs and schedules
An MSA sets the overarching terms for a continuing service relationship. We help align that framework with the work you deliver, the risks you take and the project documents that sit beneath it.
Build a framework that can be used again
We discuss how work is commissioned, who approves it and which terms should apply across projects. The agreement can then give future orders a consistent starting point without forcing every project into the same scope.
Check how the documents work together
An MSA, a statement of work and a service schedule can contradict one another. We review the links between them, including how exceptions are agreed and which document takes priority.
The scope of this service
Advice covers the commercial agreement and associated non-reserved drafting. Cross-border, specialist sector and regulated matters are scoped separately where relevant.

Is an MSA the same as an SLA?+
No. An MSA usually sets the wider commercial relationship. An SLA deals with service performance and measurement. They may be separate documents or the SLA may be a schedule to the MSA.
Can our MSA cover several statements of work?+
Yes, that can be an appropriate structure. We can help define how each SOW is approved, how it incorporates the MSA and how project-specific exceptions are handled.
